Healthspan does not engage in the practice of medicine or healthcare of any kind; that is, it does not diagnose or treat any malady, condition, or disease. Rather, Healthspan facilitates blood draws and collections, and provides healthy living coaching and advice. You must always consult with your physician when you believe that you are in need of medical care.

The Website is intended for informational purposes only and should not be construed as providing specific medical advice. Nothing on the Website is intended to take the place of proper medical advice, diagnosis, or treatment. Healthspan makes no representations or warranties, whether express, implied in law, or residual, as to the accuracy, completeness, or reliability of information, opinions, data, or Intellectual Property contained on the Website, and shall not be bound in any manner by any information contained on the Website. You should contact your physician or other healthcare professionals directly for advice about any particular concerns.   • You must not impersonate or attempt to impersonate Healthspan, a Practice employee, another user, or any other person or entity (including without limitation by using email addresses or screen names associated with any of the foregoing).
  • You must not engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or that, as determined by us, may harm Healthspan or users of the Website or expose them to liability.

Additionally, you agree not to:

7. User Information and User Account

In the course of your use of the Website, you may be asked to provide certain personalized information to us. Our information collection and use policies with respect to the privacy of such information are set forth in the Privacy Policy. In order to obtain our services, you will be required to create a user account (your “User Account”). If we determine at any time that a child under the age of 18 has created a User Account, we will terminate such child’s User Account and remove all information regarding such child from our systems.

If you are under the age of 18, please consult a parent or guardian for help. Notwithstanding the foregoing, our services may be available for use by children under the age of 18, but the User Account for all patients under the age of 18 must be created by the patient’s parent or legal guardian.

If you register as the parent or legal guardian on behalf of a minor, you will be fully responsible for complying with these Terms of Use and will provide any information about the minor patient directly on behalf of such patient. Our services are subject to state regulations and may change from time to time due to changes in applicable regulatory requirement.

You represent and warrant – that is, you promise – that all information provided to us in connection with the Website, including during account registration (collectively, “User Account Information”), is true, accurate, up-to-date, and complete. If any such information changes or becomes untrue, you agree that it is your responsibility to provide current and accurate User Account Information to Healthspan as soon as possible. You agree that Healthspan will not be liable for any harm or damage that you suffer as a result of your failure to keep your User Account Information truthful, accurate, complete, and current.

You are responsible for maintaining the confidentiality of your username and password and are fully responsible for all activities that occur on your User Account or any other breach of security. You agree to (a) notify us immediately if you suspect any unauthorized access to your User Account and (b) log-off each time following your use of your User Account. You agree that you will not disclose your username or password to any other individual or entity. You agree that you will not share your account with any other individual or entity. We are not liable for any loss or damage arising from your failure to comply with these provisions. Use caution when accessing your User Account from a shared or public computer.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

8. Mobile Terms of Service

Through your use of the Website, you consent to receive emails, texts, or other communications from us pertaining to the Services. By utilizing the Website or replying to our emails or texts in the course of obtaining the Services, you acknowledge that you are aware that email/text is not a secure method of communication, and that you agree to the risks. If you would prefer not to exchange personal health information via email, please notify us at info@hslongevity.com or follow the opt-out instructions included in such email or text, if any.

The Healthspan mobile message service (the “Service”) is operated by us. Your use of the Service constitutes your agreement to the following terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes. By using the Service, you agree to receive recurring SMS/text messages from and on behalf of Healthspan through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Healthspan. Your participation in this program is completely voluntary. We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP in response to any text you receive from us or click the unsubscribe link (where available) in any text message to cancel. You will receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Healthspan mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms. For Service support or assistance, email info@hslongevity.com. We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages. The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service. 9. Billing

Payment processing services for our Website are provided by Recurly and are subject to its own user agreements and terms and conditions (as provided on the authorize.net website). By agreeing to these terms or continuing to use the Website, you agree to be bound by the above referenced agreements, as amended by Recurly from time to time. As a condition of Healthspan enabling payment process services through Recurly, you agree to provide us with accurate and complete information about you and your payment information, and you authorize us to share it and transaction information related to your use of the payment processing services provided by Recurly.

YOUR USE OF THE WEBSITE, ITS CONTENT, AND ANY INFORMATION OR SERVICES OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. 14. Governing Law; Arbitration; Class Action Waiver

Except with respect to mandatory arbitration as provided below, you hereby consent to the exclusive jurisdiction of the courts of the Commonwealth of Massachusetts in Worcester County, Massachusetts for the resolution of any dispute relating to these Terms of Use, or the Website, and you waive any right of removal or transfer whether due to forum non conveniens or other reason. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are expressly excluded from these Terms. Excluding claims by us for injunctive or other equitable relief, any claims related to the Terms of Use, or the Website, including without limitation, any and all disputes, claims (whether in tort, contract, statutory, or otherwise) or disagreements concerning the existence, breach, interpretation, application or termination of these Terms of Use, shall be resolved by final, confidential, and binding arbitration in accordance with the JAMS Inc. Comprehensive Arbitration Rules & Procedures then in effect. There shall be no right or authority for any claims to be arbitrated on a class action basis, and you hereby waive any such right. The arbitration shall be administered by JAMS and take place in Worcester County, Massachusetts. The decision of the arbitrator will be final and binding on the parties. Judgment on any award(s) rendered by the arbitrator may be entered in any court having jurisdiction thereof. Nothing in this section shall prevent either party from seeking immediate injunctive relief or specific performance from any court of competent jurisdiction, and any such request shall not be deemed incompatible with the agreement to arbitrate or a waiver of the right to arbitrate. The parties undertake to keep confidential all awards in their arbitration, together with all confidential information, all materials in the proceedings created for the purpose of the arbitration and all other documents produced by the other party in the proceedings and not otherwise in the public domain, save and to the extent that disclosure may be required of a party by legal duty, to protect or pursue a legal right or to enforce or challenge an award in legal proceedings before a court or other judicial authority.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU AGREE THAT EACH PARTY TO A DISPUTE HEREUNDER MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

15. Termination and Access Restriction

Healthspan may terminate, change, suspend or discontinue any aspect of the Website in its sole discretion. We may restrict, suspend, or terminate your access to the Website if we believe you are in breach of these Terms and Conditions or applicable law, or for any other reason without notice or liability.

16. Miscellaneous
